SUN AREA COUNCIL OF REPUBLICAN WOMEN BYLAWS

ARTICLE I – NAME

The name of this organization shall be the SUN Area Council of Republican Women.

ARTICLE II – PURPOSE

The purpose of this organization shall be to:

A. increase the effectiveness of women in the cause of good government
B. inform the public through political education and activity
C. foster loyalty to the Republican Party at all levels of government
D. promote the principles of the Republican Party
E. work for Republican candidates in all elections.

ARTICLE III – MEMBERSHIP

Section 1. Member in Good Standing:

An individual member in good standing is one whose current dues are paid to the SUN Area Council of Republican Women and who supports Article II of these bylaws.

Section 2. Membership Eligibility:

Voting Membership in the SUN Area Council of Republican Women shall be extended to registered Republican women residing in Snyder, Union, and Northumberland Counties.

Membership shall be of three (3) Classes:

Section 1. Regular Primary Member – Any woman who is a Registered Republican voter and who chooses and declares our Council as her “Primary Council”, shall be eligible for membership with full voting powers upon the timely payment of our Council’s dues. A Regular Member shall be eligible to hold office.

Section 2. Associate Member – Any woman, regardless of her residency, who is a Registered Republican voter and who has membership in other Councils shall also be eligible for membership with full voting privileges upon the required timely payment of our Council’s dues. These members will only be counted once (by their designated Primary Council) to determine delegate and membership numbers for voting at the State or National Conventions. This also includes those who are currently not eligible to vote.

Section 3. Sustaining Member – Any man who is a Registered Republican Voter and supports the objectives and mission of the SUN Area Council of Republican Women is invited to join as a Sustaining member. A Sustaining member will have no vote or eligibility to hold office but will receive newsletters and updates regarding Council business.

Section 4. Non-Resident Membership – Any woman who is a registered Republican voter in Pennsylvania, but resides in a county other than Snyder, Union, or Northumberland counties and declares SUN Area Council as her “Primary Council”, shall be eligible for membership, but will not have voting rights nor be an office holder in SUNACRW. A non-resident member has full membership with Pennsylvania Federation of Republican Women and National Federation of Republican Women. It is SUNACRW’s intention to empower these members to eventually organize a council in their area.

ARTICLE IV – SUN AREA COUNCIL OF REPUBLICAN WOMEN OFFICERS AND THEIR DUTIES

Section 1. Eligibility:

A. Elected SUN Area Council of Republican Women officers, members of standing and special committees shall be members in good standing.

Section 2. Officers:

A. Elected officers of the SUN Area Council of Republican Women shall be a President, Vice President, Recording Secretary, and Treasurer.

Section 3. Term:

A. The elected officers shall be elected at the Annual Meeting for a term of two years beginning January 1 of every odd numbered year.

B. The term of office for elected officers shall be from January 1 following their election through December 31 of the second year.

Section 4. Duties of the SUN Area Council of Republican Women President:

The President shall be the chief executive officer and official representative of the Council. She shall preside at all meetings of the Council and the Executive Board. She shall appoint all Standing & Special Committee Chairpersons. The President shall be a member (ex-officio) of all committees, except the nominating Committee. She shall appoint a Chaplain who would be there to open the meetings or events when called upon. The President shall submit an annual report to the organization.
Section 5. Duties of the SUN Area Council of Republican Women Vice President

The Vice President shall be the point of contact in her county. The vice president shall perform the duties of the president in her absence or inability, and shall perform such other duties as may be assigned by the President.

Section 6. Duties of the SUN Area Council of Republican Women Recording Secretary:

Record the minutes of all meetings of the SUN Area Council of Republican Women Executive Committee and General Membership Meetings. Perform such other duties as may be assigned by the SUN Area Council of Republican Women President.

Section 7. Duties of the SUN Area Council of Republican Women Treasurer:

The Treasurer shall be the custodian of all of the funds of the Council. The Treasurer shall collect all incoming money assessments and receipts and deposit same in a depository approved by the Executive Board. She shall a submit a timely written list of paid and unpaid members to the Membership Chair so that the Membership Chair may contact all unpaid members by March 15th of the calendar year. She shall also submit a written financial statement of the account at each meeting of the Council and the Board to be filed for audit.

Section 8. SUN Area Council of Republican Women Officers’ Records:

A. All officers and all committee chair and vice chair shall deliver all records, files, and properties of the SUN Area Council of Republican Women to their respective successors within one month after retiring from office unless otherwise directed by the president or the executive committee.

ARTICLE V – SUN AREA COUNCIL OF REPUBLICAN WOMEN EXECUTIVE COMMITTEE

Section 1. SUN Area Council of Republican Women Executive Committee

A. The voting body of the SUN Area Council of Republican Women Executive Committee shall be the elected officers and the immediate past president of SUN Area Council of Republican Women.

B. The non-voting members of the SUN Area Council of Republican Women shall be the chairs of the standing and special committees. The non-voting members shall
have a voice.

C. Officers will automatically be relieved from her office for non-attendance at four (4) meetings during the year. An exemption may be granted by the Executive Committee if an extenuating cause exists.

Section 2. Duties of the SUN Area Council of Republican Women Executive Committee shall be to:

A. Act as the governing body of the SUN Area Council of Republican Women.

B. Consider for approval the program of action as presented by the SUN Area Council of Republican Women President.

C. Elect an Executive Committee member to serve on the Nominating Committee.

Section 3. Meetings of the SUN Area Council of Republican Women Executive Committee:

A. At least one meeting shall be held during the calendar year or as deemed necessary by the SUN Area Council of Republican Women President or the Executive Committee.

Section 4. Quorum:

Four voting members shall constitute a quorum for all meetings of the Executive Committee.

ARTICLE VI – SUN AREA COUNCIL OF REPUBLICAN WOMEN STANDING AND SPECIAL COMMITTEES

Section 1. SUN Area Council of Republican Women Standing Committees:

A. The SUN Area Council of Republican Women Standing Committees shall be appointed by the SUN Area Council of Republican Women President as deemed necessary to accomplish the work of SUN Area Council of Republican Women. The SUN Area Council of Republican Women Standing Committees shall be Bylaws, Campaign, Fundraising, Legislation and Research, Membership, Program and Public Relations. SUN Area Council of Republican Women Standing Committee chair shall have a voice but no vote on the SUN Area Council of Republican Women Executive Committee.

B. The SUN Area Council of Republican Women Standing Committees shall prepare programs of action in their respective fields for consideration by the SUN Area Council of Republican Women President and Executive Committee.

Section 2. SUN Area Council of Republican Women Special Committees:
SUN Area Council of Republican Women Special Committees shall be appointed by the SUN Area Council of Republican Women President as deemed necessary to accomplish the work of the SUN Area Council of Republican Women. SUN Area Council of Republican Women Special Committee chairs shall have a voice but no vote on the SUN Area Council of Republican Women Executive Committee.

ARTICLE VII – AUDITING COMMITTEE

The President shall appoint at least three (3) Regular Members to the auditing Committee to perform an annual audit of the Treasurer’s Records prior to the transfer of the Treasurer’s Records and Banking information to the newly elected Treasurer or biannually. An audit of the books of the organization by an Accountant or CPA outside of the organization’s governing body can be requested by the Executive Board with the approval of the Membership.

ARTICLE VIII – NOMINATIONS AND ELECTIONS

Section 1. Nominations:

A. The Nominating Committee shall consist of one member of the Executive Committee and two members of the general membership of SUN Area Council of Republican Women.

B. The election of the nominating committee shall be conducted at the September meeting in the calendar year in which election of officers is held

C. Nominees to the SUN Area Council of Republican Women elective offices submitted by the SUN Area Council of Republican Women Nominating Committee shall be members in good standing of the SUN Area Council of Republican Women for at least six months and shall be in accord with the purposes, bylaws and policies of this organization and the Republican Party.

D. The nominating committee shall submit the name of one nominee for each SUN Area Council of Republican Women office in a report which shall be reported to all members of SUN Area Council of Republican Women at the October meeting in the calendar year in which election of officers is held.

E. Nominations for the elective offices may be made from the floor at the Biennial Meeting of SUN Area Council of Republican Women following the report of the nominating committee. Such nominees shall be members in good standing of the SUN Area Council of Republican Women and shall be in accord with the
purposes, bylaws and policies of this organization and the Republican Party.

Section 2. Election of Officers:

A. Elections shall be by ballot and a majority of all votes cast shall constitute an
election. When there is only one candidate for an office election may be by voice vote.
Section 3. Vacancies:

A vacancy in an elective office shall be filled by the SUN Area Council of Republican Women Executive Committee at its next meeting following the vacancy. Notice of such vacancy will be given with the call for the meeting, or if the vacancy occurs after the call is issued, by letter, phone, fax or email.

ARTICLE IX – DUES

Section 1. Dues:

A. Changes in the SUN Area Council of Republican Women annual dues shall be by recommendation of the Executive Committee and majority vote of the SUN Area Council of Republican Women membership.

B. Membership dues will be set at $25.00 per year if the member wishes to be a member of National, State, or Local. OR, $17.00 if the member wishes to be a member of state and local only. $8.00 is the required membership for National Federation of Republican Women, $10.00 is the required membership for State Federation of Republican Women, and this will leave $7.00 for the SUN Area Council of Republican Women.

C. Association and Sustaining Membership Fee will be set at $10.00.

Section 2. Fiscal Year:

A. The fiscal year of the SUN Area Council of Republican Women shall be from January 1 through December 31.

ARTICLE X – Meetings

Section 1. In accordance with PFRW Bylaws SUN Area Council of Republican Women shall hold a minimum of four meetings per year.

Section 2. Biennial Meeting

A. A Biennial Meeting shall be held in the fall of the even-numbered years at a time and location determined by the SUN Area Council of Republican Women Executive Committee.

B. A call to the Biennial Meeting shall be mailed to the SUN Area Council of Republican Women members postmarked at least thirty days prior to the date of the Biennial Meeting.

ARTICLE XI – PARLIAMENTARY AUTHORITY

The rules contained in the current edition of Robert’s Rules of Order Newly Revised shall
govern the SUN Area Council of Republican Women in all cases in which they are applicable and in which they are not inconsistent with these bylaws or the bylaws of the PFRW.

ARTICLE XII – AMENDMENTS

A. The SUN Area Council of Republican Women Bylaws Committee shall present proposed amendment(s) to the SUN Area Council of Republican Women Executive Committee for review and approval prior to publication. Written notice of the proposed amendments shall be sent to the all members of the SUN Area Council of Republican Women within a fifteen days prior to the meeting in which they will be proposed.

B. These bylaws may be amended the majority of those voting.

ARTICLE XIII – DISSOLUTION

A. In the event of a dissolution of this organization by a majority vote of the SUN Area Council of Republican Women Executive Committee, all of its assets which remain after payment of all liabilities, costs and expenses of such dissolution shall be given to PFRW. None of the assets shall be distributed to any member or officer of the SUN Area Council of Republican Women.
